1. About Foundero / Not a law firm

Foundero (“Foundero”, “we”, “us”) is operated by Foundero Inc. Foundero provides self-help business-formation tools: we prepare standard corporate and registration documents based on the information and choices you provide, and — where you authorize it — submit those documents to the Ontario Business Registry (OBR) and related registries on your behalf.

Foundero is not a law firm, is not a substitute for a lawyer, and does not provide legal, tax, or accounting advice. We do not review your situation or recommend what is best for you. Any options, defaults, or templates we present are general and selected by you at your own direction. If you need advice, consult a licensed lawyer or accountant.

By creating an account or using the Service you agree to these Terms.

2. Eligibility

You must be at least 18 years old and able to enter a binding contract. You agree the information you provide is accurate, current, and complete, and that you are authorized to provide it (including information about other directors/officers/shareholders).

3. What the Service does — and does not do

We do: generate documents from your inputs; let you e-sign them; file incorporation/registration documents with OBR on your authorization; surface government-issued results (e.g., OCN, Company Key) in your dashboard.

We do not: decide your share structure, choose your directors/officers, give legal/tax advice, guarantee government approval, or control government processing times. All decisions are yours.

You are responsible for reviewing every document before signing or filing.

4. Authorization to file (Limited Power of Attorney)

Where you ask us to submit filings on your behalf, you grant us a Limited Power of Attorney for that narrow purpose only (see the separate Limited Power of Attorney document). You may revoke it as described there.

5. Fees, billing, and renewals

  • Incorporation/registration fees and our service fees are shown before you pay. Government fees are [ pending — shown separately vs rolled in — pricing decision ].
  • Payment is processed by Stripe; you authorize the charge shown at checkout.
  • If a plan renews (e.g., annual), it renews automatically at the rate shown until you cancel. You can cancel anytime in Settings → Subscription; cancellation takes effect at the end of the current period.

6. Third-party services

The Service relies on third parties (e.g., Stripe for payment, OBR for filing, NUANS for name search/reservation, and the bank you choose). We are not responsible for their availability, timing, fees, or decisions. Government processing times are outside our control and any time estimates we show are estimates only, not guarantees.

7. Your content and documents

You retain ownership of the information you provide and the completed documents about your business. We grant you a license to use the document templates for your own business; you may not resell or redistribute the templates themselves. We may use de-identified, aggregated data to improve the Service.

8. Acceptable use

You won't use the Service unlawfully, won't submit false information, and won't attempt to use it to commit fraud or to file on behalf of someone who hasn't authorized you.

9. Disclaimer of warranties

The Service and all documents are provided “as is” without warranties of any kind. We do not warrant that documents are suitable for your specific circumstances, that filings will be accepted, or that the Service will be uninterrupted or error-free. This is not legal advice.

10. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim is limited to the amount you paid Foundero for the Service in the 12 months before the claim. We are not liable for indirect, incidental, or consequential damages. [ pending — cap amount & wording — counsel to confirm ]

11. Indemnification

You agree to indemnify Foundero against claims arising from your inputs, your decisions, your breach of these Terms, or filings you authorized.

12. Dispute resolution, arbitration, governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there. [ pending — arbitration + class-action waiver — counsel to confirm ] The parties attorn to the courts/arbitral seat of Ontario.

13. Termination

You may stop using the Service anytime. We may suspend or terminate access for breach. Sections that by nature survive (fees owed, IP, disclaimers, limitation of liability, indemnity, dispute resolution) survive termination.

14. Changes

We may update these Terms; material changes will be notified by email or in-app. Continued use after changes means acceptance.
