Terms of Service

Foundero (“Foundero”, “we”, “us”) is operated by Foundero Inc. Foundero provides self-help business-formation tools: we prepare standard corporate and registration documents based on the information and choices you provide, and — where you authorize it — submit those documents to the Ontario Business Registry (OBR) and related registries on your behalf.

Foundero is not a law firm, is not a substitute for a lawyer, and does not provide legal, tax, or accounting advice. We do not review your situation or recommend what is best for you. Any options, defaults, or templates we present are general and selected by you at your own direction. If you need advice, consult a licensed lawyer or accountant.

By creating an account or using the Service you agree to these Terms.

You must be at least 18 years old and able to enter a binding contract. You agree the information you provide is accurate, current, and complete, and that you are authorized to provide it (including information about other directors/officers/shareholders).

We do: generate documents from your inputs; let you e-sign them; file incorporation/registration documents with OBR on your authorization; surface government-issued results (e.g., OCN, Company Key) in your dashboard.

We do not: decide your share structure, choose your directors/officers, give legal/tax advice, guarantee government approval, or control government processing times. All decisions are yours.

You are responsible for reviewing every document before signing or filing.

Where you ask us to submit filings on your behalf, you grant us a Limited Power of Attorney for that narrow purpose only (see the separate Limited Power of Attorney document). You may revoke it as described there.

• Incorporation/registration fees and our service fees are shown before you pay. Government fees are included in the total shown at checkout.
• Payment is processed by Stripe; you authorize the charge shown at checkout.
• If a plan renews (e.g., annual), it renews automatically at the rate shown until you cancel. You can request cancellation anytime from Settings → Subscription, then send the email that opens; we stop the renewal, and cancellation takes effect at the end of the current period.
• Refunds: Refunds are governed by our 30-day guarantee. Before we submit your filing, you may cancel and we will work out a refund with you; fees already paid to third parties on your behalf (such as the official name search) are not refundable. After we submit your filing, we refund our service fee as actually paid, after any discount, with tax (the Foundero formation fee and any plan fee) if our service fell short and you tell us within 30 days of purchase; government filing fees and other third-party fees already paid are not refundable, and a change of mind is not covered. A renewal charge is refunded if requested within 14 days and nothing has been signed, created or changed in Foundero since the renewal.

The Service relies on third parties (e.g., Stripe for payment, OBR for filing, NUANS for name search/reservation, and the bank you choose). We are not responsible for their availability, timing, fees, or decisions. Government processing times are outside our control and any time estimates we show are estimates only, not guarantees.

You retain ownership of the information you provide and the completed documents about your business. We grant you a license to use the document templates for your own business; you may not resell or redistribute the templates themselves. We may use de-identified, aggregated data to improve the Service.

You won't use the Service unlawfully, won't submit false information, and won't attempt to use it to commit fraud or to file on behalf of someone who hasn't authorized you.

The Service and all documents are provided “as is” without warranties of any kind. We do not warrant that documents are suitable for your specific circumstances, that filings will be accepted, or that the Service will be uninterrupted or error-free. This is not legal advice.

To the maximum extent permitted by law, our total liability for any claim is limited to the amount you paid Foundero for the Service in the 12 months before the claim. We are not liable for indirect, incidental, or consequential damages.

You agree to indemnify Foundero against claims arising from your inputs, your decisions, your breach of these Terms, or filings you authorized.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there. The parties submit to the courts of Ontario.

You may stop using the Service anytime. We may suspend or terminate access for breach. Sections that by nature survive (fees owed, IP, disclaimers, limitation of liability, indemnity, dispute resolution) survive termination.

Subject to legal requirements, we may change these Terms. If you use Foundero after a change, you accept the updated Terms. If a change is material and could reasonably affect you adversely, we will tell you by email before it takes effect or shortly after, with a link to the updated Terms. We will give you notice of any change to our fees.
