Filing Authorization (Limited Power of Attorney)

When you ask Foundero to submit your incorporation filings, you grant the Limited Power of Attorney below. Its scope is strictly limitedto filing with the Ontario Business Registry on your behalf — it does not authorize any business, legal, or financial decision, and it ends automatically. This page reproduces the authorization for reference; you grant it at the sign & submit step.

1. Appointment and purpose
The Principal appoints Foundero as the Principal's limited attorney and agent for the sole and limited purpose of preparing and submitting the following filings to the Ontario Business Registry (OBR) and, where applicable, related government registries, using only the information the Principal has provided and approved:
- Articles of Incorporation and supporting incorporation filings under the Business Corporations Act (Ontario);
- the Initial Return under the Corporations Information Act;
- [ pending — sole proprietorship: Business Name registration under the Business Names Act ];
- correction or refiling of the above where required by the registry to complete the Principal's requested filing.
2. Scope is limited
This authority is strictly limited to the filings in §1. It does not authorize Foundero to:
- make any business, legal, or financial decision for the Principal;
- enter into any contract on the Principal's behalf;
- access, open, or operate any bank account;
- access or use the Principal's Company Key for any purpose other than completing the filings in §1;
- file anything not approved by the Principal;
- act after this authority ends (§4).
The Principal remains responsible for the accuracy of all information and for reviewing and approving each document before it is filed.
3. Reliance
Foundero and the OBR may rely on this authorization to process the filings in §1.
4. Duration and revocation
This authority takes effect on the date above and automatically ends on the earlier of: (a) completion of the filings in §1; (b) [ pending — auto-expiry — suggested 60–90 days ]; or (c) the Principal revoking it by written notice to Foundero at adam@foundero.ai. Revocation does not affect filings already submitted.
5. Governing law
This authorization is governed by the laws of the Province of Ontario.
6. Acknowledgment
The Principal acknowledges that Foundero is not a law firm and has not provided legal advice, and that the Principal is authorizing a clerical/agency filing service at the Principal's own direction.
